Terms of Use

This is an English translation of the French version, which prevails in case of any discrepancy.

1. Acceptance of terms

Welcome to ogsaisolutions.com (the "Site"), operated by OGS AI Solutions, the registered English translation of OGS Solutions IA, a trade name of Olivier Guilbault Savor, sole proprietor based in Quebec, Canada ("OGS," "we," "our").

By accessing the Site, browsing it, or interacting with its features (including our contact form, scheduling tool and AI assistant), you agree to these Terms of Use (the "Terms"). If you do not agree with these Terms, please do not use the Site.

These Terms apply to your use of the Site as a visitor. OGS's professional services are governed by a separate Service Agreement signed between OGS and the relevant client, which prevails over these Terms in all matters relating to service delivery.

3. Purpose of the Site

The Site presents OGS's services, provides informational content on artificial intelligence and automation for small and medium businesses, and allows visitors to:

• View information about our services and approach;
• Contact us through a contact form;
• Book a discovery call;
• Interact with our AI assistant powered by artificial intelligence;
• (Where applicable) subscribe to our newsletter.

4. Access and use

4.1 Open access

Access to the Site is free and unrestricted. No account is required to view public content or use the features described in section 3.

4.2 Acceptable use

You agree to use the Site and its features in compliance with applicable laws and not to:

• Attempt to access parts of the Site not intended for you;
• Bypass or attempt to bypass security or rate-limiting measures;
• Use automated tools (bots, scrapers, agents) to collect data from the Site, except for indexing by search engines that comply with our robots.txt directives;
• Use the Site's content to train artificial intelligence models without our prior written authorization;
• Submit, through forms or the assistant, content that is unlawful, defamatory, hateful, fraudulent, sexually explicit, threatening, or that infringes the rights of others;
• Submit personal information about third parties without their authorization;
• Attempt to cause our AI assistant to generate content prohibited by our Privacy Policy or by the usage policies of our AI inference providers;
• Overload, disrupt or compromise the integrity of the Site, the assistant or the underlying infrastructure.

We reserve the right to block access to the Site or the assistant to any person or IP address that violates these Terms, without notice and without obligation to provide reasons.

4.3 Availability

We strive to keep the Site available at all times, but we do not guarantee uninterrupted availability. The Site may be temporarily unavailable for maintenance, updates, or due to technical issues beyond our control.

4.4 Minimum age

Use of the Site and its interactive features (contact form, scheduling tool, AI assistant, newsletter) is reserved for individuals 14 years of age or older. Children under 14 must not use these features without the prior consent of the holder of parental authority. For entering into contractual commitments (for example, signing a service agreement), Quebec's age of civil majority (18 years) applies.

4.5 Responsible vulnerability disclosure

If you discover a security vulnerability or abnormal behavior of the AI assistant (for example, an information leak, a technical flaw, or inappropriate generated content), we invite you to report it in good faith to contact@ogsaisolutions.com rather than exploiting it or making it public. We commit to acknowledging receipt of your report within 5 business days and to addressing serious vulnerabilities as a priority, without bringing legal action against good-faith researchers who respect this process.

5. Intellectual property

5.1 OGS ownership

All elements of the Site (text, graphics, logos, icons, images, source code, organization, visual identity) are the exclusive property of Olivier Guilbault Savor (operating as OGS AI Solutions) or used under license. They are protected by intellectual property laws applicable in Canada and abroad.

5.2 License granted to visitors

We grant you a personal, non-exclusive, non-transferable, revocable license to view the Site and its content for personal or professional non-commercial information purposes.

This license does not grant you the right to:

• Substantially or systematically reproduce the content;
• Republish, distribute, or commercially exploit the content;
• Use the content to train artificial intelligence systems (without prior written authorization);
• Remove or alter copyright notices, trademarks or other proprietary notices;
• Create derivative works without prior written authorization.

Casual sharing of a link to a page of the Site, accompanied by a short quotation and clear attribution to OGS, is permitted and welcome.

5.3 Your contributions

When you submit content (through forms, the assistant, or email), you grant us a non-exclusive, worldwide, royalty-free license, limited to the duration necessary to handle your request, respond to you, retain the information per our published retention periods, and comply with our legal obligations.

You warrant that you hold the necessary rights to the content submitted and that this content does not infringe the rights of third parties.

5.4 Trademarks

The names "OGS Solutions IA" and "OGS AI Solutions," along with the OGS logo (node network), are trade names and unregistered trademarks of Olivier Guilbault Savor. Any use of these distinctive signs without prior written authorization is prohibited, except for purely referential or journalistic purposes.

6. AI assistant

The AI assistant embedded on the Site is powered by a generative artificial intelligence model. Section 12 of our Privacy Policy describes how it works, the associated data collection, and your rights.

As contractual conditions, you acknowledge and agree that:

• The assistant's responses are generated by a statistical model and may contain errors, outdated information or inaccurate statements. Current language models are prone to producing "hallucinations", that is, statements that appear plausible but are factually false or fabricated. You agree to evaluate any information critically and to verify it against authoritative sources before relying on it;
• No assistant response constitutes professional advice (legal, tax, accounting, medical or otherwise);
• No assistant response constitutes a contractual commitment by OGS. Any commitment on our part requires a signed written agreement;
• Prices, timelines and terms mentioned by the assistant are indicative and non-binding. A formal written proposal prevails over any statement by the assistant;
• You shall not submit to the assistant any sensitive information, trade secrets or confidential information of third parties;
• You waive any claim against OGS arising from your reliance on an assistant response, to the extent permitted by law.

7. Links to third-party sites

The Site may contain links to websites operated by third parties (for example, LinkedIn profiles, scheduling tools, partner provider sites). These sites are governed by their own terms of use and privacy policies. OGS exercises no control over these sites and disclaims any responsibility for their content, availability or practices.

8. Disclaimers and limitation of liability

8.1 Site and content provided "as is"

The Site and its content are provided "as is" and "as available," without warranty of any kind, express or implied, to the extent permitted by applicable law. We make reasonable efforts to ensure the accuracy of the content at the time of publication and to keep the Site in good working order, but we do not warrant that:

• The content will be accurate, complete or up to date at all times;
• The Site will be available without interruption or error;
• The Site will be free of viruses or other harmful components (although we take reasonable measures in this regard);
• The responses generated by the AI assistant will be accurate, appropriate or suited to your particular situation.

8.2 Limitation of liability

To the extent permitted by applicable law, OGS, its officers, employees, contractors and providers shall not be liable for any direct, indirect, incidental, special, exemplary or consequential damages arising from:

• Your use of, or inability to use, the Site or assistant;
• Your reliance on any content published on the Site or generated by the assistant;
• Any failure, interruption or error of the Site;
• Any unauthorized access to or alteration of your communications.

8.3 Liability cap

If, despite the foregoing, our liability is established with respect to your use of the Site (excluding a separately signed Service Agreement), our total liability to you is limited to one hundred Canadian dollars (CAD $100).

8.4 Rights not affected

Nothing in these Terms is intended to exclude or limit our liability to the extent that such exclusion or limitation would be prohibited by applicable law, including Quebec's Consumer Protection Act where it applies.

9. Indemnification

You agree to indemnify and hold OGS harmless from any claim, loss, damage, cost or expense (including reasonable attorney fees) arising from:

• Your use of the Site in violation of these Terms;
• Your submission of unlawful content or content infringing the rights of a third party;
• Your violation of an applicable law.

10. Changes to the Terms

We may amend these Terms at any time. The date of the most recent update appears at the top of the Terms. For any material change, we will publish a notice on the Site at least 30 days before it takes effect. Your continued use of the Site after a change takes effect constitutes your acceptance of the amended Terms.

11. Force majeure

Neither party shall be held liable for any failure to perform its obligations under these Terms resulting from events beyond its reasonable control, including: natural disasters, fire, flood, armed conflict, civil unrest, pandemic, major Internet network failure, third-party provider failure, large-scale cyberattack, government intervention, or judicial order preventing performance. The affected party will inform the other party as quickly as possible and will make reasonable efforts to mitigate the consequences of the event.

12. Suspension and termination

We may suspend or terminate your access to the Site at any time, without notice and without incurring liability, in case of violation of these Terms, abuse of the assistant, or for any other reasonable reason.

13. Miscellaneous

13.1 Entire agreement

These Terms, together with our Privacy Policy and our Legal Notice, constitute the entire agreement between you and OGS regarding the use of the Site, and supersede any prior communication, proposal or agreement.

13.2 Severability

If any provision of these Terms is held invalid, illegal or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Failure by OGS to exercise a right or enforce a provision of these Terms does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations to a third party (for example, in case of incorporation, merger or sale of the business), with reasonable notice posted on the Site.

14. Governing law and dispute resolution

14.1 Governing law

These Terms are governed by the laws of Quebec and the federal laws of Canada applicable in Quebec, excluding their conflict-of-laws rules.

14.2 Mediation first

In the event of a dispute arising from these Terms or your use of the Site, the parties agree to first attempt to resolve the dispute in good faith through direct discussion, and then, if necessary, through mediation before an accredited mediator in Quebec, prior to commencing judicial proceedings.

14.3 Court jurisdiction

Failing amicable resolution, any dispute shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montréal, Quebec, Canada, except for conservatory or injunctive remedies which may be sought before any competent court.

15. Language

The parties have expressly requested that these Terms and all documents related to them be drafted in French. Les parties ont expressément demandé que les présentes Conditions ainsi que tous les documents qui s'y rattachent soient rédigés en français.

An English translation is provided to facilitate understanding. In case of any discrepancy between the French and English versions, the French version prevails.
